These terms and conditions (Service-User terms) apply on the usage of our website www.meditika.com (the "Website"), smart phone MEDITIKA Application (the Application) as well as to all information, recommendations and/or services provided to you on or through the Website, the Application or through the Customer Care (The CC) through a national phone number. The term 'YOU' refers to the user of our services through Website, the Application and the CC. The terms and conditions mentioned in this contract along with the Privacy Policy constitute the entire contract between the User(s) and Meditika with respect to access to and use of the website / application and the Services offered by Meditika, superseding any prior written or oral contracts in relation to the same subject matter herein.

ABOUT MEDITIKA
Meditika (hereinafter referred to as ‘MED’ or ‘Meditika’ or ‘we’ or ‘us’) is a brand of a company Human Crayon Management Services Pvt. Ltd. registered under the Companies Act, 1956. MEDITIKA is a registered trademark of Human Crayon Management Services Pvt Ltd. The office of MEDITIKA is at 247C, Third Floor, Prakash Mohalla, East of Kailash, New Delhi 110 065.

THE SERVICE
MEDITIKA offers a technology platform for connecting Customers, both offline and on-line through our connecting numbers, www.meditika.com and Mobile Application MEDITIKA available on iOS, Windows & Andriod platforms. MEDITIKA’s Technology platform is an enabling platform for a consumer to connect with a third party, independent valid permit holder pharmacist or pharmacist operators known as The Pharmacist Service Provider hereinafter referred as PSP. Once PSP accepts a request, customer is notified with the details of PSP through sms or Mobile application. MEDITIKA shall do all the reasonable efforts to connect you with a PSP & the services are subject to the availability of PSPs in or around your location at the moment of your request for Pharmacist services.

By using the connecting numbers, the website and/or Mobile Application or user of the service through the CC, you hereby acknowledges that MED (MEDITIKA) is not a Pharmacist services provider.

It is up to the PSP to offer pharmacist services, which may be requested through the use of the connecting number, Website, Application or CC. MEDITIKA only acts an intermediary between Customer and the PSP.

The user has to note that PSP is your service provider and therefore it is subjected to the contract between YOU (Customer) and the PSP. MEDITIKA shall never be a party to such contract.

USER(S) ELIGIBILITY
User(s) means any individual or business entity/organization that legally operates in India or in other countries, uses and has the right to use the Services provided by MEDITIKA. Our Services are available only to those individuals or companies who can form legally binding contracts under the applicable law. Therefore, user(s) must not be a minor as per Indian Law; i.e. user(s) must be at least 18 years of age to be eligible to use our Services.

MEDITIKA advises its users that while accessing the web site/ the application, they must follow/abide by the related laws. MEDITIKA is not responsible for the possible consequences caused by your behavior during use of web site/application. MEDITIKA at all the times reserves the right to deny service/s.

USER ACCOUNTS, OFFERS AND PROMOTIONS
MEDITIKA collects general user data including name, email ID, contact details etc. to facilitate services.

It is assumed that all information collected from the user is Correct & Accurate. Misuse and misrepresentation of identity or contact details will lead to automated termination of services or the use of the platform without prior notice to such users.

User accounts bearing contact number and email IDs are created and owned by MEDITIKA. Any promotional discounts, offers and reward points in the form of MEDITIKA Money accumulated can be revoked without prior notice in the event of suspicious account activity or malafide intent of the user. In the case where the system is unable to establish unique identity of the user against a valid mobile number or e-mail ID, the account shall be indefinitely suspended. MEDITIKA reserves the full discretion to suspend a user's account in the above event and does not have the liability to share any account information whatsoever.

USAGE CONDITIONS
You are advised to provide accurate information to MEDITIKA. MEDITIKA can verify the information that you have provided and choose to refuse the service or use of the Application / the Website without providing reasons.

By using the Application or Website you agree to:

1. You have understood your contract with MEDITIKA for Website / Application usage and you have clearly understood the SERVICE with our CLARIFICATIONS.
2. Use the Application for personal purpose only.
3. You will not assign or otherwise transfer your account to any other person or legal entity.
4. You will not use the Service or Application for unlawful purposes, including but not limited to sending or storing any unlawful material or for fraudulent purposes.
5. You will not use the Service or Application to cause nuisance, annoyance or inconvenience.
6. You will not impair the proper operation of the network.
7. You will not try to harm the Service or Application in any way whatsoever.
8. You will not copy, or distribute the Application or other MEDITIKA Content without written permission from MEDITIKA.
9. You will keep your account password information confidential or any other identification we provide you which allows access to the Service and the Application.
10. You will provide us with whatever proof of identity we may reasonably request.
11. You will comply with all applicable law from your city, State and the country while using the Application or the Service.

In addition to other reasons mentioned under the Termination clause below, MEDITIKA reserves the right to immediately terminate the Service and the use of the Application should you not comply with any of the above rules.

GENERAL CUSTOMER BEHAVIOUR WHILE USING PHARMACIST SERVICE THROUGH PHARMACIST SERVICE PROVIDER

• It is expected that a reasonable behavior shall be followed by the customers while utilizing the Services offered by the PSP.
• The Company encourages all its customers to take full responsibility of his/heritems Products / Services requested from the PSP. The customer should ensure they check the product / services when made available to them by the PSP including the date of expiry if any. Meditika is not responsible in case of loss or damage to the customer.
• All the calls made to the Company's CC are recorded by the Company for quality and training purposes.
• The customer shall ensure that he/she will not indulge in any of the following activities while taking our services:
  • Asking the PSP to provide products / services without the necessary prescription of a certified doctor.
  • Breaking any government rules as per the law of the land for any purpose.
  • Pressurizing the PSP to provide banned drugs or materials.

REPRESENTATION, WARRANTIES, INDEMNIFICATION AND LIMITATION OF LIABILITY

Without prejudice to the above, the Company makes no representation or warranty that:

• The Services will meet the customer's requirements.
• The Services will be uninterrupted, timely or error-free.
• MEDITIKA shall not be responsible or liable for any loss or damage, howsoever caused or suffered by the Customer arising out of the use of Pharmacist service offered by PSP or due to the failure of PSP to provide Services to the Customer for any reason whatsoever including but not limited to the Customer's non-compliance with the Services' recorded voice instructions, malfunction, partial or total failure of any network terminal, data processing system, computer tele-transmission or telecommunications system or other circumstances whether or not beyond the control of Company or any person or any organization involved in the above mentioned systems.
• MEDITIKA will not be liable for any damages of any kind arising from the use of the Service offered by the PSP including, but not limited to direct, indirect, incidental, punitive, and consequential damages.
• MEDITIKA will take all reasonable measures to ensure that PSP should fulfill his duty properly but there may be exceptions, MEDITIKA will not be held liable for any such compensation. The customer is advised to make alternate arrangement in case the pharmacist has not reached due to any reason.
• The Company shall not be liable for any conduct of the pharmacist. MEDITIKA encourages you to notify any complaints that you may have against the pharmacist that you may have used through the MEDITIKA’s platform.
• All the pharmacist listed with MEDITIKA platform are continuously tracked using GPS for security reasons only. It is expressly made clear to you hereby that the Company does not own any Pharmacist Service Provider nor does it directly or indirectly employ any pharmacist for the PSP’s. MEDITIKA disclaims any and all liability in respect of the Pharmacists and the Pharmacist Service Providers alike.

AMENDMENT TO TERMS OF CONTRACT

The Company shall be entitled to add to, vary or amend any or all these terms and conditions at any time and the Customer shall be bound by such addition, variation or amendment once such addition, variation or amendment are incorporated into these terms and conditions at Company's website at www.MEDITIKA.com or the Application on the date that Company may indicate that such addition, variation or amendment is to come into effect.

INTELLECTUAL PROPERTY RIGHTS

MEDITIKA is the sole owner or lawful licensee of all the rights to the web site and its content. Web site content means its design, layout, text, images, graphics, sound, video etc. The web site content embody trade secrets and intellectual property rights protected under worldwide copyright and other laws. All title, ownership and intellectual property rights in the web site and its content shall remain with MEDITIKA, its affiliates or licensor's of MEDITIKA content, as the case may be.

All rights, not otherwise claimed under this contract or by www.MEDITIKA.com, are hereby reserved. CHOICE OF LAW AND DISPUTE RESOLUTION

These Terms shall be governed by, and construed in accordance with, the laws of India, without reference to principles of conflicts of law. The parties agree that the courts of Delhi shall have exclusive jurisdiction over any dispute arising from or relating to these Terms, the Application or the Website. You expressly consent to the personal jurisdiction of said courts and waive any objection to such personal jurisdiction based on forums non convenience or any other basis.

These general terms & conditions of offer ("General Offer Terms") shall constitute a legally binding and enforceable contract between the Customer availing the Offer ("Customer(s)/ You/ Your") and Meditika Private Limited ("MEDITIKA"). You are not bound in any way to participate in the Offer. By availing the Offer, You unequivocally accept to be bound by the terms set out below. The participation is voluntary and any purchase or transaction on the MEDITIKA Platform shall be deemed as acceptance of the terms and conditions mentioned herein. These General Offer Terms along with any other offer specific terms as may be issued by MEDITIKA from time to time shall constitute the entire understanding between MEDITIKA and You and these General Offer Terms shall supersede any other offer specific terms in the event of conflict unless such offer specific terms expressly supersede these General Offer Terms.

1. The offer is valid ONLY on MEDITIKA Mobile Application and can be availed on Pharmacist Services and shall not be applicable to any unless expressly communicated by MEDITIKA otherwise.
2. The Pharmacist services (“Services”) provided by third parties on the MEDITIKA mobile application (“MEDITIKA Platform”) shall be the responsibility of the third party providing the Services and all claims shall be against that third party (“Service Provider”) providing the service to which the offer applies.
3. Offers shall not be clubbed with other Offers as a matter of MEDITIKA’s policy.
4. You shall become ineligible to participate in this Offer if you are barred from using services of MEDITIKA during Offer Period. MEDITIKA reserves the right to disqualify any Customer from the benefits of the Campaign/Offer, if any fraudulent activity is identified as being carried out by the Customer for the purpose of availing the benefits under the Campaign/Offer or otherwise by use of the service.
5. MEDITIKA disclaims all warranties, conditions or statements, whether express, implied or statutory, including, without limitation, the implied warranties or conditions of merchantability, quality and / or fitness for the products or services included in this Offer, the Services or for any other purpose.
6. Limitations:
   • Pictures of products shown in the communication sent to the Customer either through mailers or advertised on MEDITIKA website, are for representation purposes only and may not bear a resemblance to the actual Product / Services provided by the relevant Service Provider. MEDITIKA shall under no circumstances be responsible towards the same.
   • Product / Services offered under this program are subject to availability from the respective Service Provider in relevant geographical location and in no circumstances MEDITIKA shall be liable for non-availability of any of the Product / Services.
   • Under no circumstance will the Offer/Discount being offered under this Program be settled or exchanged in cash.
   • All liability with respect to the Services availed lies solely with the respective Service Provider.
   • MEDITIKA or the Service Provider shall not be liable for any indirect or speculative or consequential or penal damages, including, but not limited to, any loss of use, loss of data and loss of income or profits, irrespective of whether it had an advance notice of the possibility of any such damages. Notwithstanding anything contained in this General Offer Terms, the total liability of MEDITIKA and the Service Provider, shall not, in any circumstances, exceed the Rs. 1000/- (Rupees One Thousand only), and irrespective of the nature of the claim which results in such liability and whether based on contract or tort or any other theory of law.
7. The Offer shall be subject to usual force majeure events.
8. MEDITIKA may at its sole discretion refuse, deny, discontinue, withdraw and terminate the Offer at any time during the Offer Period without assigning any reasons whatsoever and without any prior notice to You.
9. All disputes shall be settled amicably, on failure to do so within 30 (Thirty) days, such disputes shall be resolved by a sole arbitrator appointed by mutual agreement of the parties. The proceedings of the arbitration shall be conducted in accordance with the provisions of the Arbitration Conciliation Act, 1996 and the seat of arbitration shall be Delhi, India. Subject to the aforesaid, these General Offer Terms read with the offer specific terms shall be governed by the laws of India and the courts in Delhi, India shall have sole and exclusive jurisdiction.

Disclaimer

The customer agrees and acknowledges that the use of the Mobile App/Website is at the sole risk of the customer and that Company disclaims all representations and warranties of any kind, whether express or implied as to condition, suitability, quality and fitness for any purposes are excluded to the fullest extent permitted by law.

DEFINITIONS

"User" means a person who has signed up and is registered with MEDITIKA for the use or potential use of the Service. "PSP" means the party having sole responsibility for the Pharmacies service provider / Partner.

PURPOSES TO STORE YOUR PERSONAL DATA

A. OPTIMIZATION OF WEBSITE & APP

When you visit our Website, our website administrators process technical data such as your IP-address, visited webpages, the internet browser you use, your previous/next visited websites and the duration of a visit/session to enable us to deliver the functionalities of the Website. In addition, in certain instances the browser may prompt you for your geo-location to allow us to provide you with an enhanced experience. With this technical data our website administrators can manage the Website, for instance by resolving technical difficulties or improving the accessibility of certain parts of the Website. This way, we ensure that you can (continue to) find the information on the Website in a quick and simple manner.

When you use our APP, we also process technical data such as your IP-address, Device ID or MAC-address, and information about the manufacturer, model, and operating system of your mobile device. B. OPTIMIZATION OF CUSTOMER SERVICE

When you register as a User, we will collect your name, email address, country, language, password, mobile phone number, IP-address, Device ID. We will use your contact details to send you a welcoming email to verify your username and password, to communicate with you in response to your inquiries, and to send you service-related announcements, for instance, if our Service is temporarily suspended for maintenance. We will use your registration information to create and manage your User account. We may deactivate your account if we suspect that you use our APP to commit fraudulent or illegal acts or if you violate our terms of use.

C. PERSONAL INFORMATION

When you request transportation via your use of the APP, the Website or the CC, we provide your first name or last name to the PSP who accepts your request for Services so that the PSP may contact and find you.

D. TELEPHONE NUMBER AND PUSH NOTIFICATIONS

If you have requested a service through the Website, the APP or the CC; from the time that your service request is accepted by the PSP, until it reach your destination, you and the PSP will have the ability to contact each other, via the mobile phone used to request the services. During that time and only if you have consented we will send you sms&PSP info will be available on the APP on your mobile phone to let you know if the PSP is on his way to your location and again when he has arrived at your location.

E. DISCLOSURE OF YOUR DETAILS

We may employ third party companies and individuals to facilitate or provide the Service on our behalf, to process payment, provide customer support, provide geo-location information to our PSP, to perform Website-related services (e.g., without limitation, maintenance services, database management, web analytics and improvement of the Website's features) or to assist us in analyzing how our Service is used. These third parties may have access to your personal information only to perform these tasks on our behalf and are contractually bound not to disclose or use it for any other purpose.

MEDITIKA will disclose your personal data to the extent that this is legally required, or necessary for the establishment, exercise or defense of legal claims and legal process; or in the event of an emergency pertaining to your health and/or safety.

You may request details of personal information which we hold about you under the Data Protection Act 1998. A small fee will be payable If you would like a copy of the information held on you please write to support@MEDITIKA.com.

F. HOW WE USE COOKIES

Referral Scheme T&C

These MEDITIKA’s Referral Program terms and conditions are in addition to the service-user terms and conditions. To participate in MEDITIKA’s Referral Program, you must agree to these terms, which become part of the service-user terms and conditions.

1. By availing the services offered by us, the Referrer and Referral Recipient consent to the Terms and Conditions provided herein, Referrer being the person whose Referral Code has been used to sign up and Referral Recipient being the person who signs up using a valid Referral Code. Customers/Customer include, whether individually or collectively, both the Referrer and the Referral Recipient
2. Anyone who signs up using a valid Referral Code will get a Free Coupon (“Referral Discount”) worth the value of MEDITIKA’s Referral Program at the time of signup. These values may change if MEDITIKA’s Referral Program changes during the signup
3. The Referral Discount will be provided to the Referrer upon completion of the first order of the Referral Recipient. The value of the discount will be as per MEDITIKA’s Referral Program active at the time of referral recipient's signup using the Referral Code. However, it is clarified Meditika Private Limited (“MEDITIKA”) reserves the right of discretion with regard to issuance of Referral Discount so as to combat fraudulent transactions.
4. MEDITIKA’s Referral Program and Referral Discount are valid only on the MEDITIKA mobile application.
5. The Referral Discounts are applicable on mentioned categories only.
6. The Referral Discount on a Referral Code can be availed only once and only in the state or city prescribed by MEDITIKA. Creating multiple Customer’s accounts using multiple emails or signing in from multiple devices in order to unduly gain Referral Discount shall be considered to be in contravention of these terms & conditions.
7. The Referral Discount is applicable on the final chargeable amount only. The Referral Discount availed under MEDITIKA’s Referral Program shall not in any case exceed the total billable amount.
8. If your bill amount is less than the value of your Referral Discount, your Referral Discount will be fully used.
9. The Referral Discount under no circumstances will be settled or exchanged in cash or cash equivalents. However, MEDITIKA, at its sole discretion, may convert the value of your referral discount into any other form of credit, whatsoever. The Referral Code and Referral Discount provided are non-transferable.
10. The Referral Discount shall be subject to force majeure events and on occurrence of such event(s), the Referral Discount may be withdrawn at the discretion of MEDITIKA.
11. The Referral Discount shall not be clubbed with any other program of MEDITIKA.
12. MEDITIKA reserves the right to discontinue the Referral Discount without assigning any reasons or without any prior intimation whatsoever to the Customers. In case of any dispute, MEDITIKA’s decision shall be binding on all Customers.
13. MEDITIKA reserves its absolute right at any time to add, alter, withdraw, modify or change or vary any or all the terms and conditions of MEDITIKA’s Referral Program at its sole discretion and the same shall be binding on the Customer at all times.
14. MEDITIKA does not make any warranties or representation of the quality, merchantability, suitability or availability of the products or services included in the Referral Discount.
15. Any taxes, cess, liabilities or charges payable to the Government or any other authority or body, if any, shall be borne directly by the Customer.
16. The participation is voluntary and any purchase or transaction on the MEDITIKA website or using MEDITIKA mobile application shall be deemed as acceptance of the Terms and Conditions mentioned herein.
17. MEDITIKA reserves the right to revoke the Referral Discount or suspend a Customer’s account at any time it is believed that the account is being misused or MEDITIKA’s Referral Program terms and conditions are being violated.
18. No refund, either in the form of coupons or money, will be issued for the Referral Discount.
19. MEDITIKA reserves the right to review and investigate all referral activities and to suspend accounts or revoke / remove Referral Discount and withhold features or benefits obtained through MEDITIKA’s Referral Program if MEDITIKA believes or determines that the use of a Referral Code or Referral Discount was in error, fraudulent, illegal, or in violation of the terms and conditions of MEDITIKA’s Referral Program.
20. Referral Code shall not be duplicated, sold or transferred in any manner, or made available to the general public (whether posted to a public forum or otherwise). MEDITIKA’s Referral Program is meant to reward our privileged and loyal customers as well as MEDITIKA fans and not meant for sharing the Referral Code on any communication medium be it print, digital or electronic, including but not limited to websites, or any means for any purpose whatsoever. MEDITIKA reserves the right to revoke the Referral Discount or suspend a Customer’s account at any time if such sharing of the Referral Code is in contravention of MEDITIKA Referral Program terms & conditions.
21. If any provision in these terms and conditions are held to be invalid, void or unenforceable, such provision will be struck and the same shall not affect the validity of and enforceability of the remaining provisions.
22. Any dispute, controversy or claim arising out of or relating to MEDITIKA’s Referral Program (“Dispute”), including claims seeking redress or asserting rights under the applicable law shall be amicably settled through mutual consultation and escalation at such offices of MEDITIKA as MEDITIKA may designate. If the Dispute is not settled amicably as aforesaid within a period of 15 (Fifteen) calendar days, the matter would be referred to arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996. Arbitration shall be presided over by a sole arbitrator mutually appointed by MEDITIKA and the Customer. The arbitration proceedings shall be conducted in the English language. The venue for the arbitration proceedings shall be Delhi.
23. These terms and conditions shall be governed by and construed in accordance with the laws of India and, subject to this clause
24. MEDITIKA and the Customer agree and undertake that any controversy or claim arising out of or relating to these terms and conditions will be adjudicated exclusively before a competent court in Delhi, India only.

IN NO EVENT OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS RELATING TO OR ARISING OUT OF MEDITIKA REFERRAL PROGRAM SHALL EXCEED INR 1000/- (RUPEES ONE THOUSAND ONLY).
